Welcome to Adklop Marketing. These Terms & Conditions govern the use of our website and the performance marketing services provided by Adklop Marketing.
By submitting an enquiry, requesting a trial, engaging our services, or continuing to work with us, you acknowledge that you have read and agreed to these Terms & Conditions.
Our Services
Adklop Marketing provides performance marketing and related digital marketing services. Depending on the agreed scope, these services may include:
- Meta advertising campaign setup and management
- Facebook and Instagram advertising
- Lead generation campaigns
- Audience research, targeting and retargeting
- Competitor research
- Creative strategy and advertising creatives
- Campaign testing and optimization
- Conversion tracking and pixel setup
- Funnel strategy
- Advertising budget monitoring
- Performance reporting
The exact services provided to each client will depend on the scope agreed between Adklop Marketing and the client. Services outside the agreed scope may require a separate agreement or additional charges.
10-Day Trial
Eligible clients may begin with a 10-day trial period to experience how Adklop Marketing researches, plans, executes, monitors and optimizes marketing campaigns.
The purpose of the trial is to allow the client to evaluate our process, strategy, execution, communication and quality of work before deciding whether to continue.
The trial does not mean that specific leads, sales, revenue, ROAS or other business results are guaranteed within 10 days.
At the end of the trial, the client may decide whether to continue with our paid services. Continuing services may be subject to a separate service agreement, agreed scope and billing arrangement.
No Guarantee of Results
Performance marketing involves research, testing, data collection and continuous optimization. Adklop Marketing does not guarantee any fixed number of leads, sales, orders, revenue, conversions, Return on Ad Spend (ROAS), Cost per Lead, Cost per Acquisition or other specific marketing or business results.
Advertising performance can be influenced by factors outside our direct control, including advertising budget, market demand, competition, pricing, product or service quality, website experience, creative performance, platform algorithms and the client's sales or follow-up process.
We will make reasonable professional efforts to improve campaign performance based on available data, but previous results or projections should not be considered guarantees of future performance.
Advertising Budget
Advertising spend is separate from Adklop Marketing's service charges. Unless specifically agreed otherwise, clients are responsible for paying advertising platforms directly for their advertising spend.
Adklop Marketing is not responsible for funding a client's advertising budget. Campaign performance may be affected if sufficient advertising funds are unavailable or if campaigns cannot run because of payment or billing issues associated with the client's advertising account.
Client Responsibilities
To provide our services effectively, clients are responsible for providing the information, materials and access reasonably required to perform the agreed work. This may include access to relevant Meta advertising accounts, Facebook pages, Instagram accounts, websites, analytics or tracking systems, business information, products, services, offers, pricing information and creative materials.
Clients are also responsible for providing timely approvals, feedback and accurate business information. Delays in providing account access, materials, information, approvals or feedback may delay campaign launches, optimization or other deliverables and may affect campaign performance.
Accuracy of Client Information
The client is responsible for ensuring that information supplied to Adklop Marketing is accurate, lawful and not misleading.
The client is also responsible for ensuring that its products, services, offers, claims, pricing and business practices comply with applicable laws and relevant advertising platform policies.
Adklop Marketing may request changes to advertising materials or decline to publish content where we reasonably believe it could violate applicable law or platform policies.
Campaign Approval
Where client approval is required for advertising creatives, copy, offers, landing pages or other campaign materials, the client should review the material before approval.
Once approved, Adklop Marketing may use the approved material for the relevant campaigns. Changes requested after approval may affect campaign schedules and performance.
Fees and Payments
Fees, billing cycles and payment arrangements will be communicated separately or specified in the applicable proposal, invoice or service agreement.
Payments must be made according to the agreed billing terms. Where payment becomes overdue, Adklop Marketing reserves the right to pause campaigns or suspend services until outstanding payments are resolved.
Any work requested outside the agreed scope may be quoted and charged separately with the client's approval.
Refunds
Payments may become non-refundable once campaign setup, strategy, creative development, advertising activities or other agreed work has commenced.
Any refund eligibility that has been specifically agreed in writing between Adklop Marketing and the client will be governed by that agreement.
Third-Party Platforms
Our services may depend on third-party platforms and services, including Meta, Facebook, Instagram, websites, analytics tools and other advertising or technology providers.
Adklop Marketing does not control these third-party platforms and cannot guarantee their continuous availability or operation. We are not responsible for circumstances outside our reasonable control, including platform outages or technical failures, advertising account restrictions or suspensions, advertising account bans, platform policy or algorithm changes, advertising delivery interruptions, payment or billing problems associated with third-party platforms, or changes made directly by a third-party platform.
We may assist the client in addressing platform-related issues where reasonably possible, but we cannot guarantee that an account, campaign or restriction will be restored or resolved.
Intellectual Property
Unless otherwise agreed in writing, ownership of final client-specific work created as part of a paid engagement will transfer to the client after all applicable payments for that work have been completed.
Adklop Marketing retains ownership of its pre-existing methods, processes, frameworks, templates, systems, know-how and other intellectual property that was not specifically created for the client. Third-party materials remain subject to the rights and licences of their respective owners.
Portfolio and Marketing Use
Unless otherwise agreed in writing, Adklop Marketing may display completed work, campaign creatives or non-confidential project information as part of our portfolio, case studies or promotional materials.
We will not intentionally disclose confidential client information when doing so.
Confidentiality
Both Adklop Marketing and the client agree to treat confidential business information received during the engagement with reasonable care.
Confidential information should not be disclosed to third parties except where necessary to provide the agreed services, where the information is already publicly available, or where disclosure is required by law.
Termination
Either Adklop Marketing or the client may terminate an ongoing service arrangement according to the notice period specified in the applicable service agreement.
Any work completed and amounts due up to the effective termination date remain payable. Termination does not automatically create a right to a refund for work already completed or commenced.
Limitation of Liability
To the extent permitted by applicable law, Adklop Marketing will not be responsible for indirect, incidental or consequential business losses resulting from factors outside the agreed scope of services or outside our reasonable control.
This includes losses resulting from advertising platform outages, account restrictions, unavailable advertising funds, changes to third-party platforms, client-side delays or business and sales issues outside Adklop Marketing's control.
Nothing in these Terms is intended to exclude or limit liability where such liability cannot lawfully be excluded or limited.
Website Enquiries and Information
Submitting a form or enquiry through the Adklop Marketing website does not by itself create a paid service agreement.
Information provided on this website is intended to explain our services and general approach. Specific deliverables, timelines, responsibilities and commercial arrangements may be confirmed separately before or during an engagement.
Privacy and Information Submitted to Us
When you submit information through our website, such as your name, phone number, email address, business type or business name, we may use that information to respond to your enquiry and communicate with you regarding our services.
We will handle personal information in accordance with applicable privacy requirements and any Privacy Policy published on our website.
Changes to Services or Terms
Adklop Marketing may update these Terms & Conditions when necessary to reflect changes to our services, business practices or applicable requirements.
The latest version will be published on this website with an updated effective date. Changes will not override separately agreed contractual terms for an existing engagement unless agreed or legally applicable.
Relationship With Individual Service Agreements
These Terms & Conditions are general website and service terms.
Where a client enters into a separate written service agreement with Adklop Marketing, that agreement may contain additional or more specific terms regarding scope, deliverables, payments, timelines, cancellation and other matters.
If there is a conflict between these general Terms and a separately signed client agreement, the signed client agreement will govern the specific engagement to the extent of that conflict.
Governing Law
These Terms & Conditions and services provided by Adklop Marketing will be governed by the applicable laws of India.
Any disputes will be subject to the jurisdiction agreed between Adklop Marketing and the client in the applicable service agreement or, where no separate jurisdiction has been agreed, the courts having lawful jurisdiction over the matter.
